Managing Shareholder Francis (Fran) Hughes counsels small and large businesses in all operational aspects, including contract negotiations, real estate transactions, employment issues, creditors’ remedies in and out of bankruptcy, and mergers and acquisitions.
Among Fran’s specialties is creating and implementing multimillion-dollar private placements, including drafting private placement memoranda, determining accredited investor/non-accredited investor status, and preparing regulatory securities filings. Fran also frequently guides clients through complex company sale and acquisition transactions.
A significant portion of Fran’s practice involves drafting and negotiating purchase and sale agreements, service and supply contracts, commercial lease and real estate sale contracts, as well as non-compete, confidentiality, and non-disclosure agreements.
Fran has also successfully defended clients against millions of dollars in bankruptcy preference claims.
