Francis (Fran) Hughes, Fox, O’Neill & Shannon, S.C.’s Managing Shareholder, counsels small and large businesses, including corporations and limited liability companies, in all aspects of their operations, including corporate operational matters, employment issues, real estate transactions, creditor’s rights, contract negotiations and acquisitions.
Fran has extensive experience creating and implementing multi-million dollar private placements for his corporate clients. In addition to drafting private placement memoranda, Fran is integrally involved in the determination of accredited investor/non-accredited investor status and the preparation and filing of federal and state securities documents.
Fran also represents buyer and seller clients in a wide variety of real estate transactions in Wisconsin and throughout the United States. These transactions have included purchases, sales, tax-deferred exchanges and financing transactions. He regularly represents landlords and tenants in connection with commercial, office and retail lease negotiations.
A significant portion of Fran’s practice involves drafting and negotiating a wide variety of contracts, and counseling clients on contract matters. These contracts include purchase and sale agreements, contracts for the provision of a wide variety of services, non-compete agreements, confidentiality and non-disclosure agreements, terms and conditions of sale and supply agreements.
Employment questions can become very complicated for even seasoned human resources departments. It’s not uncommon for both federal and state laws to appear at odds when dictating answers. Fran regularly counsels businesses on employment and personnel issues, including all types of employment discrimination claims. Fran has also drafted and negotiated many non-compete agreements and separation agreements between employees and employers.
Fran has substantial experience representing creditors in bankruptcy and in state court receivership actions. This representation has included the successful defense of millions of dollars in preference claims, and the representation of landlords whose tenants have sought the courts’ bankruptcy protection.
As a part of his practice, Fran also represents the purchasers of business assets from secured parties. Fran is accordingly well versed in the technical requirements and pitfalls of the Uniform Commercial Code, as enacted and modified in Wisconsin and other states, Fran represent many borrowers in commercial lending transactions, including real estate financing, asset based lending and industrial revenue bond projects. These transactions involve various types of lenders, including banks, insurance companies and private investors. Fran also serves as local counsel to out of state lenders such as insurance or finance companies.
A dedicated member of the legal community, Fran maintains strong ties with the American Bar Association, State Bar of Wisconsin and Milwaukee Bar Association. Fran regularly performs pro bono legal services for the Boys and Girls Clubs of Greater Milwaukee, Inc. Fran also serves on the Board and is Past-President of the St. Thomas More Lawyers Society.

Fran is married with four children. He enjoys many outdoor hobbies such as backpacking, canoeing, camping, bicycling, alpine skiing and golf, particularly when he can participate with his family. He is the Chartered Organization Representative and past Troop Committee Chairman for his son’s Boy Scout Troop and has, at various times, been involved in coaching his children’s sports teams. Fran frequently volunteers in various ways for his church.
